The Rules That Help Keep Every Heirloom, And Every Member, Authentic.

Welcome to SocialProof (“SocialProof,” “we,” “us,” or “our”). These Terms & Conditions (these “Terms” or this “Agreement”) govern your access to and use of the SocialProof website, mobile application, brand administration portal, and all related services and features (collectively, the “Platform” or the “Services”). By creating an account, scanning or claiming an Heirloom, browsing the Platform, or otherwise using the Services in any way, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use the Platform.
1. Acceptance of These Terms
These Terms form a legally binding agreement between you and SocialProof. Using the Platform in any manner — whether as a brand, a consumer, or a casual visitor — constitutes your acceptance of these Terms and our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
Additional terms, policies, and community guidelines may apply to specific features (for example, the Brand Portal, authenticated product communities, or Heirloom Personas) and are incorporated into these Terms by reference. In the event of a conflict, these Terms control except where a specific feature's terms explicitly state otherwise.
2. Definitions
- Heirloom means a physical product registered on the Platform and linked to a digital product passport through an Heirloom Token (NFC).
- Heirloom Token means the near-field-communication (NFC) chip or certification card that anchors a physical product to its digital record on SocialProof.
- Brand User means an account holder that registers products, deploys tokens, and manages brand content through the Brand Portal.
- Consumer User means an account holder who claims, transfers, experiences, or interacts with Heirlooms.
- Memory means any photo, story, note, location tag, or experience a Consumer User links to an Heirloom through the Platform.
- Heirloom Persona means an optional, AI-generated personification of an Heirloom derived from its associated Memories.
- Authenticated Product Community means a space within the Platform where verified owners of a given Heirloom product line and its brand can interact.
3. Eligibility & Accounts
You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to create an account. If you are between 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Brands must be duly organized and authorized to operate in their jurisdictions, and the individual creating a Brand account must be authorized to bind the brand.
You agree to provide accurate, current, and complete information when registering, to keep your credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use or security breach.
4. Overview of the Platform
SocialProof links physical products to tamper-evident digital identities so that authenticity is verifiable and ownership is traceable. Brands register products and deploy Heirloom Tokens; consumers verify authenticity, claim ownership, attach Memories, join authenticated communities, and transfer Heirlooms — building a living digital legacy for each object.
The Platform includes social features: public and private Memories, photo and story sharing, authenticated product communities, Heirloom Personas, and ownership histories. By using these features you accept the responsibilities described throughout these Terms, particularly those governing User Content.
5. Brand Users — Obligations & Licenses
- Register only products you own the rights to distribute and that genuinely originate from your brand.
- Maintain accurate product information, edition details, serialization, and ownership records.
- Obtain all rights and clearances for any digital content (video, image, audio, NFTs, access codes) attached to a product before publishing it on the Platform.
- Comply with all applicable advertising, consumer-protection, anti-counterfeiting, and data-protection laws in every region where you sell or ship Heirloomed products.
- Pay all fees associated with your selected plan and token orders.
- Use the Brand Portal only for legitimate brand administration and not to misrepresent, manipulate, or impersonate other entities.
By submitting brand content to the Platform, you grant SocialProof a worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute that content solely as necessary to operate, maintain, and promote the Platform and the relevant Heirlooms.
6. Consumer Users — Ownership & Use
Claiming an Heirloom records your ownership on the Platform; it does not by itself transfer legal title to the physical good, which is governed by your purchase and applicable law. You are responsible for keeping your ownership records accurate and for transferring ownership through the Platform when you resell or gift an Heirloom so that the provenance history remains trustworthy.
You may only claim Heirlooms you legitimately own or possess. Falsely claiming ownership, spoofing tokens, or manipulating the ownership chain is strictly prohibited.
7. User-Generated Content & Social Features
Memories, photos, stories, community posts, and other content you create or upload (“User Content”) are central to the Platform's social experience. You retain ownership of your User Content; however, by posting it you grant SocialProof a worldwide, royalty-free, sublicensable, transferable license to host, store, use, display, reproduce, adapt, and distribute your User Content on and through the Platform and to make it available to other users in accordance with your visibility settings and the features you use.
- Post only content you have the right to share and that does not infringe anyone's rights, including image rights and depicted persons' consent.
- Do not post content that is unlawful, hateful, harassing, defamatory, sexually explicit, violent, or that promotes counterfeits or fraud.
- Respect the privacy of others and do not post personal or location data about identifiable people without their consent.
- Understand that Memories set to Public may be viewed by other users and associated with the Heirloom's public timeline indefinitely, including after a transfer of ownership.
We may review, hide, or remove User Content that violates these Terms or applicable law, and may suspend accounts for serious or repeated violations. We do not endorse any User Content and are not responsible for its accuracy.
8. Heirloom Personas (AI Features)
Heirloom Personas are optional AI-generated personifications of an Heirloom created from its associated Memories. Persona outputs are generated by artificial intelligence and may be inaccurate, biased, or unexpected. Personas are provided for entertainment and engagement only, do not represent the views of SocialProof, and are not legal, financial, or professional advice. You are responsible for the content used to generate and the use you make of any Persona.
9. Authentication, Provenance & Ownership Transfers
SocialProof documents authentication and ownership as a verifiable chain for each Heirloom. While we strive for accuracy, authentication reflects the data supplied by brands and users; we cannot guarantee the physical authenticity of any object and are not liable for fraudulent or erroneous records beyond what is described in the Disclaimer and Limitation of Liability sections. When you sell or give away an Heirloom, use the Platform's transfer feature so the new owner inherits the full history in a way that keeps provenance reliable.
10. Prohibited Conduct
- Counterfeiting, cloning, or tampering with Heirloom Tokens or authentication records.
- Impersonating another person or brand, or falsely claiming ownership.
- Scraping, automated data collection, or reverse-engineering the Platform.
- Bypassing security, payment, or access controls.
- Spamming, manipulating communities, or coordinating inauthentic engagement.
- Using the Platform to violate any law or the rights of any person.
11. Fees, Payments & Subscriptions
Some features and plans require payment, including token orders and subscription tiers. Fees, billing cycles, and refund terms are presented at the time of purchase and on the Products & Pricing page. Brand subscriptions renew automatically unless canceled before the renewal date. We may change fees with reasonable advance notice; changes take effect at the next renewal and do not affect pre-paid terms.
12. Intellectual Property
The Platform, its design, software, the SocialProof name and logo, and brand-supplied editorial content are owned by SocialProof or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during your account's life. Heirloom Token graphics, certification cards, and any embedded digital content remain subject to the rights of their respective owners. Do not copy, redistribute, or misuse our branding or content without permission.
13. Disclaimers; No Warranty
The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, SocialProof disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that authentication results will always be accurate. Use is at your own risk.
14. Limitation of Liability
To the maximum extent permitted by law, SocialProof and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our aggregate liability for any claim arising from these Terms or the Platform is limited to the amount you paid us in the preceding twelve (12) months, or fifty U.S. dollars (USD $50), whichever is greater. Some jurisdictions do not allow certain limitations, so these limits may not fully apply to you.
15. Indemnification
You agree to indemnify and hold harmless SocialProof and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your breach of these Terms, or your violation of any law or third-party right.
16. Term, Suspension & Termination
These Terms remain in effect until your account is closed. You may close your account at any time through the Platform or by contacting us. We may suspend or terminate your access if you violate these Terms, create risk or liability, or as required by law. Upon termination, your right to use the Platform ends; Public Memories and ownership-chain records may be retained as described in these Terms and the Privacy Policy, while Private Memories will be handled in accordance with your settings and our retention practices.
17. Privacy & Data
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. By using the Platform you consent to the data practices described there.
18. Modifications to These Terms
We may update these Terms from time to time. We will provide notice of material changes through the Platform or by other reasonable means. Your continued use after changes take effect constitutes acceptance of the revised Terms.
19. Governing Law & Disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in or near Atlanta, Georgia, for any dispute not subject to arbitration, except where local mandatory consumer-protection law requires otherwise.
